Terms of Service

1. Agreement and operator

These Terms of Service ("Terms") form an agreement between you and Evolve Orbit FZC, United Arab Emirates ("Evolve Orbit", "we", "us", or "our"). They govern macstayon.com, MacStayOn accounts, subscriptions, licences, downloads, updates, support, and the MacStayOn native application (together, the "Service").

By creating an account, purchasing or accepting a licence, downloading the application, or using the Service, you confirm that you have read and agree to these Terms, our Privacy Policy, and our Billing and Refund Policy. If you do not agree, do not purchase, download, activate, or use MacStayOn.

2. Eligibility and authority

You must be legally capable of entering this agreement. If you use MacStayOn for an employer, company, or other organisation, you confirm that you have authority to accept these Terms for that organisation, and "you" includes that organisation where the context requires.

You must comply with export, sanctions, employment, acceptable-use, device-management, and other laws or policies applicable to you. You may not use the Service if doing so is prohibited by law or by a binding restriction on the device or account.

3. What MacStayOn does

MacStayOn is a macOS utility that requests and manages selected power-management behaviour for sessions you initiate. Depending on your settings and system permissions, it can help approved applications or tasks remain available when the display sleeps or the lid is closed, and it can monitor indicators such as power source, battery condition, thermal state, session health, or selected application activity.

MacStayOn does not replace macOS, a power supply, reliable networking, backups, task-queue logic, remote-access software, hardware cooling, or supervision of important work. It cannot guarantee that a third-party application, agent, website, queue, process, network connection, or Mac will continue operating under every condition.

4. System requirements and permissions

You are responsible for using a supported Mac and macOS version, installing current MacStayOn updates, maintaining adequate storage and memory, and granting only the system permissions needed for the features you choose. Some lid-closed behaviour can depend on power, display, network, security, hardware, or operating-system conditions outside MacStayOn.

Apple, macOS, hardware manufacturers, network providers, security products, mobile-device-management policies, and third-party applications can change behaviour without notice to us. A feature available on one Mac, macOS release, power state, or setup may be restricted or unavailable on another.

5. Accounts and account security

  • Provide accurate information and keep your email address current.
  • Use a strong, unique password and protect access to your email and sign-in provider.
  • Do not share an account in a way that bypasses licence limits or obscures who is responsible for its use.
  • Notify support@macstayon.com promptly if you suspect unauthorised access, a compromised licence, or a fraudulent purchase.

You are responsible for activity performed through your account unless caused by our breach of duty. We may require verification before changing ownership, billing, email, team role, or licence information.

6. Licence grant

Subject to payment and compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-sublicensable, and non-transferable right to install and use the MacStayOn application during the applicable licence period on the number of active devices permitted by your plan.

This is a licence to use the software, not a sale of the software or its source code. All rights not expressly granted remain with Evolve Orbit and its licensors.

7. Plans and device limits

  • Personal: one active Mac at a time.
  • Multi-Mac: up to three active Macs at a time.
  • Team-issued, promotional, complimentary, or manually assigned licences may have a different documented device limit or expiry.

A device slot is consumed when a Mac is activated. You may deactivate an old device and use an available slot on a replacement device. Repeated, automated, deceptive, or excessive activation changes may be delayed or reviewed to protect the licensing service.

8. Licence keys, invitations, and transfers

Licence keys, signed activation tokens, invitations, and download links must be kept secure. You must not publish, sell, lease, sublicense, scrape, enumerate, counterfeit, or distribute them, or use them to provide a shared service beyond your purchased rights.

An invitation must be accepted by the intended recipient using the invited email address. An administrator may revoke, expire, reassign, or resend a manually issued licence or invitation in accordance with its stated purpose. A subscription licence may be transferred between your own eligible devices through the account controls, but it may not be transferred to another owner without our written approval.

9. Acceptable use

You must not:

  • Use MacStayOn to evade lawful security controls, employer rules, parental controls, device-management policies, access restrictions, or another person's rights.
  • Interfere with the Service, probe non-public systems, bypass rate limits, forge activation data, or attempt unauthorised access.
  • Reverse engineer, decompile, disassemble, modify, or derive source code except to the limited extent such a restriction is prohibited by law.
  • Remove proprietary notices, misrepresent the origin of the software, or use our branding to imply endorsement.
  • Use the Service for malware, credential theft, unlawful surveillance, denial-of-service activity, cryptomining without the device owner's informed permission, or other unlawful or harmful conduct.
  • Resell or commercially host the Service unless a separate written agreement expressly permits it.

10. Prices, payment, and taxes

Prices, billing interval, currency, and included device count are shown before purchase. Stripe processes payments. You authorise Stripe and us to charge the selected payment method for the initial term, applicable taxes, and later renewals until cancellation.

You are responsible for taxes, duties, currency conversion, bank charges, and payment-method fees not expressly included in the displayed price. We may correct an obvious pricing or description error before fulfilment and will provide an appropriate cancellation or refund where required.

11. Annual subscriptions and automatic renewal

Personal and Multi-Mac subscriptions are billed for 12 months in advance and renew automatically for successive 12-month periods unless cancelled before the renewal date. The renewal price is the then-current price communicated to you, subject to applicable law and any notice required for a price change.

You are responsible for keeping your payment method current. Failed payment can place the subscription and licence into a past-due, suspended, expired, or cancelled state. We may retry payment and send service notices through Stripe or email.

12. Cancellation

You can cancel an automatically renewing subscription through the Stripe billing portal linked from your MacStayOn account or by contacting support. Cancellation normally takes effect at the end of the paid term, prevents the next renewal, and does not erase transaction records or end access immediately.

Deleting the app, deactivating a device, closing a browser tab, or ceasing to use MacStayOn does not by itself cancel a subscription. Keep the cancellation confirmation for your records.

13. Refunds and statutory cancellation rights

Except where applicable law requires otherwise or our Billing and Refund Policy expressly provides otherwise, completed subscription charges are non-refundable and we do not provide prorated refunds for unused time, device changes, or early cancellation.

Nothing in these Terms removes mandatory consumer rights. Where the law gives you a cooling-off or withdrawal right for digital content or services, the checkout flow, download, activation, or immediate performance may ask for your express consent to begin during that period and acknowledgement of any effect on the withdrawal right. Any statutory remedy remains available to the extent it cannot lawfully be limited.

14. Updates, changes, and compatibility

We may release updates for security, compatibility, reliability, licensing, or features. Some updates may be required to continue using the Service. We may change or discontinue a feature when reasonably necessary, including in response to macOS changes, security risks, provider restrictions, low usage, or legal obligations.

We will not intentionally remove the core paid utility during an active term without a reasonable substitute, remediation, or remedy where required by law. We do not promise indefinite compatibility with obsolete hardware, unsupported macOS releases, or third-party software.

15. Downloads and software integrity

Use downloads provided through your MacStayOn account or another channel we expressly approve. You are responsible for checking that the download is intended for your Mac and, where provided, verifying the signature, notarisation, version, or checksum before installation.

Do not install a file represented as MacStayOn if its source or integrity is uncertain. We are not responsible for altered, repackaged, pirated, or third-party copies not supplied or authorised by us.

16. Third-party services and tasks

MacStayOn can operate while other applications, agents, browsers, servers, queues, or network services are running. Those products are independent and remain governed by their own terms, permissions, limits, security, and availability. We do not control whether a third-party task starts, resumes, consumes a queue, completes, requests user input, crashes, times out, or remains authorised.

References to a third-party product describe compatibility or user choice and do not transfer responsibility for that product to us. You are responsible for ensuring your use of third-party software and services is authorised.

17. Device, battery, thermal, and data responsibility

Keeping a Mac awake or allowing work to continue can increase processor, memory, storage, network, power, fan, battery, and thermal activity compared with normal sleep. Extended or intensive workloads can consume battery charge, increase battery cycles, generate heat, use metered data, activate peripherals, and continue third-party operations for longer than expected.

You are responsible for selecting appropriate sessions and safeguards; keeping the Mac on a stable, ventilated, dry surface; using suitable power equipment; monitoring important or intensive work; and stopping a session if the device, environment, network, or task is unsuitable. Do not obstruct ventilation, place an operating Mac in an enclosed bag or unsafe location, or rely on MacStayOn where unattended operation creates an unreasonable risk.

MacStayOn includes controls intended to reduce avoidable risk, but no software can guarantee battery life, temperature, hardware condition, data integrity, or uninterrupted operation. Back up important data and do not disable safety controls without understanding the consequences.

18. Your work, backups, and supervision

You remain responsible for commands, prompts, queued work, code changes, deployments, transactions, communications, downloads, uploads, remote sessions, and other activity performed by applications kept available during a MacStayOn session. Review automation and agent permissions before leaving a device unattended.

Maintain independent backups and version control appropriate to the value of your work. MacStayOn is not a backup, disaster-recovery, job-scheduling, data-integrity, or monitoring service, and its logs may not contain everything needed to reconstruct another application's actions.

19. High-risk and prohibited reliance

Do not rely on MacStayOn as the sole means of maintaining life-safety, emergency, medical, aviation, transport, industrial-control, security-response, financial-trading, legal-deadline, critical infrastructure, or other activity where interruption, delay, overheating, battery depletion, data loss, or unintended continuation could cause death, personal injury, substantial property damage, or serious financial or legal harm.

If you choose to use the Service in a professional environment, you must provide the independent supervision, redundancy, failover, access control, monitoring, and shutdown procedures appropriate to that environment.

20. Support

Support is provided through the website and support@macstayon.com. We may ask for account, device, app-version, and diagnostic details reasonably needed to investigate. Do not send passwords, full card details, private keys, or information you are not authorised to share.

Response targets are goals rather than guaranteed service levels unless a separate written agreement states otherwise. Support advice does not transfer responsibility for your device, third-party tasks, or backups to us.

21. Intellectual property and feedback

MacStayOn, its source and object code, website, designs, documentation, branding, images, workflows, and related intellectual property are owned by Evolve Orbit or its licensors and are protected by applicable law.

If you submit feedback or a feature idea, you grant us a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use and incorporate that feedback without restriction or compensation. This does not transfer ownership of your confidential files or unrelated work.

22. Privacy and confidential material

Our handling of personal data is described in the Privacy Policy. You are responsible for ensuring that any logs, screenshots, messages, or other material you provide to support may lawfully be shared with us.

Unless we separately agree in writing, the Service is not designed as a repository for trade secrets or regulated confidential information. Do not submit material requiring special handling without first agreeing appropriate safeguards with us.

23. Suspension and termination

We may restrict, suspend, or terminate an account, licence, activation, download, or support access when reasonably necessary for non-payment, chargeback, fraud, legal compliance, security risk, abusive conduct, material breach, unauthorised resale, or protection of users and the Service. Where practical and lawful, we will provide notice and an opportunity to remedy a curable issue.

You may stop using MacStayOn at any time, but you remain responsible for cancelling renewal. On termination or expiry, you must stop using the software and may be required to remove it. Provisions intended by their nature to survive, including payment obligations, ownership, disclaimers, liability limits, dispute terms, and records, continue to apply.

24. Service availability and force majeure

The website, authentication, billing, activation, downloads, email, and support can be interrupted by maintenance, provider outages, network failures, cyber incidents, legal orders, labour disputes, natural events, power failures, or other circumstances outside our reasonable control. We will use reasonable efforts to restore material services but do not promise uninterrupted or error-free availability.

Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations already due and responsibilities that cannot lawfully be excluded.

25. Warranty disclaimer

To the fullest extent permitted by law, the Service is provided "as is" and "as available". We disclaim implied warranties and conditions of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, uninterrupted availability, and error-free operation to the extent they may lawfully be disclaimed.

We do not warrant that MacStayOn will keep every Mac, application, agent, process, website, queue, network session, or task running; that every lid-closed configuration will work; that safeguards will prevent every adverse event; or that logs will detect or explain every interruption. Mandatory warranties and consumer remedies remain unaffected.

26. Limitation of liability

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence where it cannot be limited, death or personal injury caused by negligence, or any responsibility or consumer right that applicable law does not allow us to exclude or limit.

Subject to the paragraph above and to the fullest extent permitted by law, Evolve Orbit and its officers, employees, contractors, affiliates, and licensors are not liable for indirect, incidental, special, exemplary, punitive, or consequential loss; loss of profit, revenue, business, opportunity, goodwill, anticipated savings, data, or use; missed tasks or deadlines; third-party application conduct; battery depletion; excess data usage; or hardware, thermal, peripheral, or storage consequences not directly caused by our breach of these Terms or failure to exercise legally required care.

Subject to the same exceptions, our total aggregate liability arising out of or relating to the Service and these Terms will not exceed the amount you paid for MacStayOn during the 12 months immediately before the event giving rise to the claim. This cap applies only where permitted by law and does not reduce a mandatory statutory remedy.

27. Indemnity for business misuse

If you use the Service for business purposes, you will indemnify Evolve Orbit against third-party claims, losses, and reasonable costs arising from your unlawful use, unauthorised automation, infringement of another person's rights, breach of licence limits, or material breach of these Terms, except to the extent caused by our breach, negligence, or unlawful conduct.

This section does not apply to a consumer to the extent prohibited by applicable consumer law.

28. Changes to these Terms

We may update these Terms to reflect changes to the Service, security, providers, law, or commercial arrangements. The revised version will show a new effective date. Where a change materially reduces rights during a paid term, we will provide notice or another remedy where required by law.

Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law. If you do not agree, stop using the Service and cancel future renewal before the next charge.

29. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates as applicable to Evolve Orbit FZC, without regard to conflict-of-law rules. Before filing a claim, each party should give the other a reasonable opportunity to resolve the issue informally by written notice describing the dispute and requested outcome.

Subject to mandatory consumer rights and any court jurisdiction that cannot be displaced, the courts of the United Arab Emirates having competent jurisdiction may hear disputes arising from these Terms. Consumers retain the benefit of mandatory protections and forums available under the law of their habitual residence where those rules apply.

30. General provisions and contact

These Terms and the policies they incorporate are the entire agreement about the Service unless a separate written agreement applies. If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions continue. A delay in enforcement is not a waiver. Headings are for convenience and do not control interpretation.

You may not assign these Terms without our written consent. We may assign them as part of a reorganisation, financing, sale, merger, or transfer of the Service, subject to applicable law. No person other than you and Evolve Orbit has a right to enforce these Terms unless expressly stated.
